Article I: Name
The name of the organization is TogetherKC.org.
Article II: Registered Office and Agents

Article III: Purpose
TogetherKC.org is organized exclusively for charitable purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code. The organization’s mission is to provide meals, essential resources, and support to the homeless and food-insecure individuals of Kansas City, Missouri, with a focus on restoring hope, dignity, and community for those in need.
Article IV: Non-Profit Status and Limitations
- Non-Profit Nature: TogetherKC.org is a non-profit organization and shall not engage in any activity that does not further its stated charitable purpose. No part of the net earnings of the organization shall inure to the benefit of any director, officer, or other private individual, except as reasonable compensation for services rendered.
- Activities and Restrictions:
- No substantial part of the activities of TogetherKC.org shall be the carrying on of propaganda or otherwise attempting to influence legislation, and the organization shall not participate in or intervene in any political campaign on behalf of (or in opposition to) any candidate for public office.
- Notwithstanding any other provision of these articles, TogetherKC.org shall not engage in any activity not permitted to be carried on by an organization exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code or corresponding section of any future federal tax code.
Article V: Initial Board of Directors and Officers
The management of TogetherKC.org shall be vested in the Board of Directors and Officers as follows:

The number of directors may be increased or decreased from time to time in accordance with the bylaws of the organization, but shall not be less than three (3).
Article VI: Conflict of Interest Policy
TogetherKC.org confirms that all directors and officers do not hold any conflicts of interest. Should a potential conflict of interest arise in the future, each director, officer, and employee is required to disclose any personal interest in matters affecting the organization. Directors, officers, and employees with a conflict of interest must recuse themselves from decisions where a conflict is present. Compliance with this policy shall be reviewed annually.
Article VII: Governance and Financial Management
- Duties of Officers and Directors:
- President and CEO: Oversees daily operations, strategic planning, and public representation of TogetherKC.org.
- Vice President and Outreach Coordinator: Manages outreach programs, coordinates volunteer activities, and assists with community partnerships.
- Treasurer: Oversees financial management, record-keeping, and compliance with financial policies. Madhu S. Dutta, MBA in Finance, serves as the Treasurer and ensures the accuracy and integrity of the organization’s financial statements.
- Outreach Coordinator: Assists with outreach program planning and execution.
- Meeting Quorum:
- A quorum of more than half of the board members is required to make any binding decisions or conduct official business.
- Bookkeeping and Financial Management Policies:
- TogetherKC.org will maintain detailed records of all financial transactions and implement bookkeeping practices that ensure accuracy and transparency.
- Financial records shall be reviewed quarterly by the Treasurer and annually by the Board to ensure compliance with financial standards.
- An annual financial report shall be prepared and presented to the Board of Directors.
Article VIII: Membership
TogetherKC.org shall not have any members. The management of the organization shall be vested solely in its Board of Directors.
Article IX: Dissolution
Upon the dissolution of TogetherKC.org, assets shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any remaining assets not disposed of in this manner shall be disposed of by a court of competent jurisdiction of the county in which the principal office is located, exclusively for such purposes or to such organization(s) as said court shall determine, which are organized and operated exclusively for such purposes.
Article X: Amendments
These Articles of Incorporation may be amended in accordance with the laws of the State of Missouri and the bylaws of the organization, provided that no amendment shall alter the charitable purposes of the organization or cause it to operate in a manner inconsistent with Section 501(c)(3) of the Internal Revenue Code.
