Draft Bylaws for TogetherKC.org
Article I: Name and Location
The name of this organization is TogetherKC.org, with its principal office located at 5512 East 100th Terrace, Kansas City, Missouri 64137.
Article II: Purpose
TogetherKC.org operates exclusively for charitable purposes as described in the Articles of Incorporation.
Article III: Board of Directors
- Composition: The Board shall consist of a minimum of three (3) members.
- Terms: Directors shall serve three-year terms, renewable by board vote.
- Meetings: The Board shall meet at least quarterly. Special meetings may be called as needed.
- Quorum: A quorum shall consist of more than half of the current board members.
Article IV: Officers and Duties
- President and CEO: Leads the organization, oversees strategic direction, and represents TogetherKC.org publicly.
- Vice President and Outreach Coordinator: Manages outreach programs and assists the President.
- Treasurer: Maintains financial records, prepares quarterly and annual reports, and ensures compliance with financial policies. The Treasurer shall have an MBA in Finance and manage all financial aspects of the organization.
- Outreach Coordinator: Supports community outreach and program implementation.
Article V: Financial Management
- Bookkeeping: TogetherKC.org shall maintain detailed and accurate records of all financial transactions.
- Quarterly Review: Financial statements shall be reviewed quarterly by the Treasurer.
- Annual Audit: An annual audit or review shall be conducted to verify the accuracy of financial records.
- Financial Reports: The Treasurer shall prepare and present an annual financial report to the Board.
Article VI: Conflict of Interest
All board members shall annually disclose any potential conflicts of interest. In cases where a conflict is present, the board member shall recuse themselves from related discussions and voting.
Article VII: Amendments
These Bylaws may be amended by a two-thirds majority vote of the Board.
